By accessing or using Terrace ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Terrace provides an AI-powered hotel operations platform that offers:

  • Business intelligence and analytics
  • OTA reconciliation and financial automation
  • Credit card and payment reconciliation
  • Accounts payable automation
  • Reservation processing
  • Custom workflow automation
  • Property management integrations

Account Registration

Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization to use Terrace.

Account Creation

To use our Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your account information
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized access

Organization Accounts

If you are creating an account on behalf of an organization:

  • You represent that you have authority to bind the organization
  • The organization agrees to be bound by these Terms
  • Both you and the organization are responsible for account activities

Acceptable Use

Permitted Use

You may use Terrace for:

  • Managing hotel operations and financial data
  • Processing and reconciling financial transactions
  • Analyzing business intelligence data
  • Automating operational workflows
  • Integrating with authorized third-party systems

Prohibited Activities

You may not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or harmful software
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for fraudulent activities
  • Share your account with unauthorized parties
  • Reverse engineer or attempt to extract source code
  • Use the Service to harm, harass, or impersonate others
  • Scrape or collect data through automated means without permission

Intellectual Property

Terrace and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

Your Rights

You retain all rights to the data you upload to our Platform. By using our Service, you grant us a limited license to:

  • Process and analyze your data to provide the Service
  • Use aggregated, anonymized data to improve our Platform
  • Display your data within the Platform interface

Feedback

If you provide us with feedback, suggestions, or ideas, we may use them without obligation to you.

Payment and Billing

Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method for all fees
  • Fees are exclusive of taxes, which you are responsible for

Price Changes

We reserve the right to modify our pricing with 30 days' notice. Continued use after price changes constitutes acceptance of new pricing.

Late Payment

If payment is not received:

  • Your access to the Service may be suspended
  • You remain responsible for all amounts due
  • We may charge late fees and interest
  • We may pursue collection of outstanding amounts

Data and Privacy

  • You own all data you submit to Terrace
  • You are responsible for the accuracy and legality of your data
  • You must have rights to all data you upload
  • You must comply with applicable data protection laws

Service Availability

Uptime

Maintenance

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Results obtained will be accurate or reliable
  • Defects will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Exclusion of Damages

WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, REVENUE, OR DATA
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL

Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Exceptions

These limitations do not apply to:

  • Our gross negligence or willful misconduct
  • Death or personal injury caused by our negligence

Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.
